Our company is registered at Rybná 24, 110 00 Praha, Czech Republic, under the registration number 042 22 474. By accessing or using our website at certifiedpixel.com ("Website") and our services, you agree to be bound by these Terms of Service ("Terms"). These Terms govern your use of our website and services, including any content, functionality, and services offered on or through certifiedpixel.com. The terms "we", "us", and "our" refer to Gateway Solutions s.r.o., while "you" or "user" refers to the individual or entity accessing or using our services.
Certified Pixel aims to provide exceptional web design services, ensuring a seamless and professional online presence for our clients. These Terms are essential in defining the legal relationship between you and Gateway Solutions s.r.o., outlining our mutual rights and responsibilities. We strongly encourage you to read these Terms carefully before subscribing to our services. If you do not agree with any part of these Terms, you should not use our services.

2. Product Description

Certified Pixel Webdesign Service ("Service") is a subscription-based solution designed to provide you with a fully customized and fully responsive Webflow website. For a monthly fee, we create and host a professional website tailored to your specific needs, using a Webflow design template and eliminating any upfront costs. This Service includes the creation of a new website featuring up to 10 static pages, comprehensive SEO optimization to improve your online visibility, and optional ecommerce and payment processing functionalities to facilitate online transactions.
In addition, you will receive one hour of free support per month, which can be utilized for website updates and coding. This support can cover tasks such as modifying existing pages, adjusting design elements, or implementing new functionalities. The Service also includes reliable web hosting and a robust content management system (CMS), allowing you to manage dynamic content like articles, galleries, products, and blog posts efficiently.
Upon subscribing, you will choose a Webflow template that best suits your brand's aesthetics and functional needs. After selecting the template, you will need to submit your website content—such as text, logos, and images—through a back-office account created for you. Our team will then customize the template according to your specifications, ensuring that the final product meets your expectations.
During the subscription period, your website will be hosted on our secure servers. We handle all aspects of its availability, performance, security, SSL certification, and regular updates, ensuring your website remains functional, secure, and up-to-date with the latest web standards.

3. Subscription and Development Process

To subscribe to our Service, you must follow a straightforward process designed for your convenience. The subscription process starts on the Subscribe page of our website. Begin by entering your email address, selecting the plan that best suits your needs, and confirming your agreement with these Terms. We offer two subscription plans: a monthly plan, which is billed every month, and an annual plan, which requires a one-time payment for the entire year. Both plans can be paid using credit or debit cards.
There are no upfront one-time costs associated with our Service; however, you are required to make the first subscription payment at the beginning of the process. Once your payment is successfully processed, we will create a back-office account for you. This account is your gateway to managing your subscription, selecting your website template, and submitting the necessary content for your website. Additionally, it is used to communicate with us during the development and operation of the website.
After accessing your back-office account, you will select a template design for your website from our curated collection of Webflow templates. Next, you will need to upload your website content, including text, logos, and images, through this account. Our team will review the submitted content and begin customizing your selected template to align with your brand's vision and requirements.
We will keep you updated throughout the development process, using our integrated ticketing system within the back-office to communicate effectively. You will receive development versions of your website for review, allowing you to provide feedback and request adjustments. Once you approve the final version of the website, we will launch it on our hosting platform, making it publicly accessible.
From the time you approve the final version of the website and we deploy it, any additional requests for updates will be charged if they exceed the monthly free support limit. This ensures that we can continue to provide high-quality service and address your needs efficiently.

4. Web Hosting Agreement and Licensing

Upon completion and launch, your website will be hosted exclusively on our company's web hosting service. This hosting arrangement ensures optimal performance, security, and reliability for your website and also allows access to the content management system. It is important to note that you are not permitted to host the website elsewhere, including any copied versions, for a minimum period of 24 months. This exclusivity helps us maintain the quality and integrity of the services we provide and cover the costs of the website development.
After the initial 24-month period, you have the option to terminate your subscription with us and transfer your website to another hosting provider. If you choose to cancel your subscription before the end of the 24-month term, you may either terminate the website entirely or transfer it to another hosting provider by paying a termination fee. The termination fee is calculated as $40 multiplied by the number of months remaining in the 24-month term. For example, if you decide to cancel after 10 months, the fee will be 14 x $40 = $560. Additional taxes may apply based on your location.
Together with the finished website, you will receive a license for the Webflow template used in its creation. This license grants you the right to use the template in accordance with Webflow's terms. You must comply with the template license terms, which can be found at: Webflow Template Licenses. It is your responsibility to review and adhere to these licensing terms to avoid any potential violations.

5. Programming Costs

Once your website is live, you may require more extensive updates or additional functionalities beyond the included one hour of free support each month. These enhancements may involve tasks such as adding complex functionalities or making significant changes, which exceed the allotted free support time. In such cases, additional programming work will be required, and we will charge a fee accordingly.
The minimum billing unit for programming work is 20 minutes, and the cost for this is $17 USD. Additional taxes may apply depending on your location. When you request updates that exceed the free hour of support in a given month, we will provide you with a detailed estimate of the required programming work and send you a payment request. Upon your approval and payment, we will proceed with the requested updates, ensuring your website meets your evolving needs.
It is important to note that the one hour of free support provided each month does not carry over to the following month. Unused support hours will not accumulate or rollover, so we encourage you to utilize this time effectively to address any necessary updates or modifications to your website.

6. Service Termination and Refund Policy

You have the right to cancel your subscription to our Service at any time. If you choose to terminate your subscription after the 24-month period, you can download your entire website and transfer it to another hosting provider of your choice. If you cancel your subscription with us, you will no longer be able to manage the website content using the content management system.
If you decide to cancel your subscription before the expiration of the 24-month period, you have two options. You can either transfer the website to another hosting provider by paying the termination fee, as described earlier, or terminate the website entirely without the possibility of download.
Please note that we do not offer refunds if you cancel your subscription before the current prepaid period ends. We recommend carefully considering your decision to cancel and exploring all available options before proceeding.
We reserve the right to terminate your service if you fail to make subscription payments on time. In the event of a missed payment, we will notify you promptly. If the payment remains overdue for 3 weeks, we will terminate your web hosting service. This policy ensures that we can maintain the quality and reliability of our services for all clients.

7. Customer Responsibility for Account Security

As a customer of Certified Pixel, you are solely responsible for maintaining the confidentiality and security of your account credentials, including your password. This includes both your credentials to access the back-office account and those to access the content management system. It is crucial that you take all necessary measures to ensure your account information remains secure. You should not share your password with anyone and should take appropriate steps to protect your login details from unauthorized access.
You agree to notify us immediately of any unauthorized use of your account or any other breach of security. Gateway Solutions s.r.o. will not be liable for any loss or damage arising from your failure to comply with this security obligation. You are responsible for all activities that occur under your account, whether or not authorized by you. Any damage or loss resulting from your failure to maintain the security of your account, including unauthorized access, use, or disclosure, will be your responsibility.

8. Disclaimer

Our Service is provided "as is" and "as available," without any warranties, express or implied. Gateway Solutions s.r.o. does not guarantee that the Service will be uninterrupted or error-free. We are not liable for any direct, indirect, incidental, or consequential damages resulting from your use of the Service, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses.
We strive to provide a high-quality and reliable Service, but we cannot guarantee the continuous, uninterrupted, or secure access to our services. There are many factors beyond our control that can affect the performance and availability of your website, including but not limited to, internet service provider outages, network disruptions, and hardware or software failures.
By using our Service, you agree to indemnify, defend, and hold harmless Gateway Solutions s.r.o., its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service.
We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on our website. We will notify existing customers about any change in the Terms or prices in advance. They will have an option to cancel their subscription if they disagree with the new Terms. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you should discontinue your use of the Service.
